Register a Business in Canada as a Non-Resident

Start a New Business in Canada: If you're a non-resident without an existing business in your home country, you can still launch a new business in Canada. This option is also available to individuals currently living in Canada, regardless of citizenship or permanent residency status. You can choose to register a new corporation or form a partnership.
Expand Your Existing Business to Canada: If you already own a business in your home country and wish to bring that model to Canada, setting up a branch office is a viable path. This allows you to register your existing company in Canada as a Limited Liability Company (LLC) or as an Extra-Provincial Corporation.

The business name should conclude with one of the following terms: Limited Partnership or LP. Please provide preferred name options. We will conduct a preliminary search to check if your desired names are available.

An agent for service (a person residing in Canada to receive correspondence for your business) is REQUIRED for all foreign corporations. You may appoint us as your agent of service if you don't have one for an additional fee or $450 per year.

{:241} Named Corporation: You can propose a name for your corporation. If the name is available and satisfies the name rules of the province we will proceed to register with that name.

{:241} Numbered Corporation: You corporation's name will be a numbered name. That means, the first part of the name with a random number generated by the Government registries. For Example: '354777 {:241} Ltd.'

Note: Suitable for corporation who wish to have shareholders with voting power & non-voting power. Shareholders with voting power are decision makers while non-voting shareholders don't involve in any business decisions. Corporation will have Class A Common Voting Shares and Class B Common Non-voting Shares.

Note: This is suitable for most corporations with single owner and corporations with multiple owners but do not want to differentiate between shareholders.

A corporate minute book is a record of your corporation’s By-laws, rules, activities, minutes and such registry and legal documents. Typically, the corporate minute book is accessible at the head office of the Corporation or at the Corporation’s records office address.
What is the use of a minute?
Corporation regulations require that you have a properly maintained minute book with up to date information and changes made to the business. When you visit a bank to open an account for the business, the minute book is accepted as proof of shareholders' names.

Agent for service: is a contact person for the corporation who resides in Alberta. Government or other agencies may contact the agent for service for official purposes and must be available to respond on behalf of the corporation. Usually a director can be an agent of service.

Otherwise they all have same role in a corporation. You can add up to 10 directors. All directors are also the incorporators.
